Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Exact Recall, a personal event memory service (the “Service”), including our website at www.exactrecall.com, operated by the entity that hosts this deployment (the “Operator,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Exact Recall helps you capture, organize, and retrieve personal events through conversational interfaces, search, and related tools. Features may include optional SMS verification of your phone number and optional SMS reminders related to events you log. The Service may use third-party providers (including authentication, messaging, hosting, and AI). We do not guarantee uninterrupted or error-free operation.
2. Eligibility and accounts
You must be able to form a binding contract in your jurisdiction. You are responsible for account credentials and for all activity under your account. You must provide accurate information.
3. SMS terms and messaging compliance
If you provide a mobile number and use SMS features, the following applies in addition to our Privacy Policy.
- Consent. You agree that we may send you SMS messages for: (i) one-time verification codes to confirm your number, and (ii) optional informational reminders about follow-ups on events you created, when you enable those features. This consent is separate from any promotional marketing; we will not use your SMS consent to send unrelated marketing unless we obtain separate consent where required.
- Frequency and charges. Message frequency varies. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.
- Opt-out (STOP) — Twilio and carrier requirements. You may opt out of SMS from Exact Recall at any time by replying STOP, or another standard keyword recognized under our program and Twilio’s Messaging Policy (such as STOPALL, UNSUBSCRIBE, OPTOUT, CANCEL, END, REVOKE, or QUIT). The opt-out process is designed to be straightforward. We may send one final message to confirm your opt-out. After that, we will not send further SMS for that program unless you provide new consent. Initial or recurring messages may include language such as: “Reply STOP to unsubscribe.”
- Help. For help with the Service, use the contact method provided by the Operator or in-app support, not by replying to automated codes unless we publish a dedicated support number.
- Third-party infrastructure. SMS may be delivered via Twilio. Your use of SMS is also subject to Twilio’s policies and applicable carrier rules. You agree not to use the Service to send unsolicited or unlawful messages.
4. Acceptable use
You will not misuse the Service, including by violating law, infringing others’ rights, attempting unauthorized access, scraping in violation of our rules, or uploading malware. You are responsible for content you submit and for ensuring you have rights to use it.
5. AI-generated content
Outputs from AI features may be inaccurate or incomplete. You should not rely on them as professional, legal, medical, or financial advice. You use AI features at your own discretion.
6. Intellectual property
The Service, excluding your content, is owned by the Operator and its licensors. You retain ownership of content you submit; you grant us a license to host, process, and display it to operate the Service.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
8. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT PAID US.
9. Indemnity
You will defend and indemnify the Operator and its affiliates, officers, and agents against third-party claims arising from your content, your misuse of the Service, or your violation of these Terms, to the extent permitted by law.
10. Termination
We may suspend or terminate access to the Service for violation of these Terms or for operational reasons. You may stop using the Service at any time. Provisions that by their nature should survive will survive termination.
11. Governing law
These Terms are governed by the laws of the jurisdiction in which the Operator is organized, excluding conflict-of-law rules. Courts in that jurisdiction will have exclusive venue, unless applicable law requires otherwise. Operators should confirm governing law and venue with counsel.
12. Changes
We may modify these Terms. We will post the updated Terms with a new “Last updated” date. Continued use after changes become effective constitutes acceptance, where permitted by law.
